Prize includes an Indian Sport Chief motorcycle (or, if unavailable for any reason, a substitute prize or portion thereof of equal or greater value, as determined by Sponsor).

PRIZE DETAILS; APPROXIMATE RETAIL VALUE; TAXES AND FEES: One (1) prize will be awarded: an Indian Sport Chief motorcycle (the "Prize"). The approximate retail value ("ARV") of the Prize is $20,000. Winner is solely responsible for all federal, state, and local taxes and for all costs and expenses associated with title, registration, licensing, and insurance for the Prize, and any other costs not expressly stated as included. Sponsor may require winner to complete and return applicable tax forms (including an IRS Form W-9) and may issue an IRS Form 1099 for the value of the Prize, as required by law.

Eligibility: The Kennametal Next Level Shop Giveaway (“Sweepstakes”) is limited to individuals 18 or older who are legal residents of the United States and who attend IMTS at McCormick Place, Chicago, Illinois, September 14 through September 18, 2026 and enter to win at Kennametal Booth No. 431800, in the West Building, Level 3 (each, an "Entrant"). Entries are collected at Kennametal Booth No. 431800, in the West Building, Level 3. This Sweepstakes is subject to federal, state and local laws and regulations and void where prohibited by law. Kennametal Inc. and its employees, subsidiaries and/or affiliates (collectively the "Employees"), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate. Sponsor may require an Entrant to provide proof of eligibility (including proof of age, U.S. residency, and IMTS attendance) and may verify eligibility in Sponsor's sole discretion; any Entrant who fails to provide such proof upon request or who fails verification may be disqualified.

Sponsorship: The sponsor is Kennametal Inc. ("Sponsor"), located at 1600 Technology Way, Latrobe, PA, 15650. Sponsor will conduct the Sweepstakes substantially as described in the Official Rules. 

Agreement to Rules: By entering this Sweepstakes, the Entrant agrees to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserves the right to refuse, withdraw or disqualify any entry at any time at the Sponsor's sole discretion, including if an Entrant is determined to be ineligible or fails Sponsor's eligibility verification. The Sponsor further reserves the right, in its sole discretion, to suspend, modify, or cancel the Sweepstakes if fraud, tampering, technical failures, safety concerns, or events beyond the Sponsor’s reasonable control impair the administration, security, fairness, or integrity of the Sweepstakes, including issues affecting IMTS or booth operations. By entering the Kennametal Next Level Shop Giveaway, the Entrant is eligible to participate based on eligibility requirements explained in the Official Rules. The Entrant also agrees to accept the decisions of the Sponsor as final and binding as it relates to the content of the Kennametal Next Level Shop Giveaway. 

Entry Limitations: Limit of one (1) entry per individual throughout the Sweepstakes Entry Period – September 14, 8AM CST through September 18, 11:59AM CST at the Kennametal Next Level Shop Booth (No. 431800), in the West Building, Level 3 at IMTS 2026. Entries generated by script, macro, mechanical or other automated means and entries by any means which subvert the entry process are void. Multiple entries received from any business more than the stated limitation will be void. All entries become the sole property of the Sponsor and will not be returned.

Privacy and Publicity: Sponsor will collect personal information from entrants at the time of entry, which may include name, business name, mailing address, email address, and telephone number, as provided by the entrant. Sponsor will use this information to administer the Sweepstakes, verify eligibility, contact entrants and the potential winner, and to fulfill and deliver the prize. Sponsor may also use an entrant’s contact information to send marketing and promotional communications about Sponsor’s products and services where permitted by applicable law; entrants may opt out of such marketing communications at any time by following the unsubscribe instructions in the message (for email) or by contacting Sponsor at the address listed in these Official Rules. Sponsor’s collection and use of personal information is subject to Sponsor’s privacy policy, available at https://www.kennametal.com/us/en/privacy-policy.html.

Sweepstakes Entry Period: This sweepstakes begins on Monday, September 14, 2026, at 8 AM CST and ends on Friday, September 18, 2026, at 11:59 AM CST (entries must be received within the time period). 

RANDOM DRAWING: One (1) winner will be selected on September 18, 2026, at 12 PM CST for the Indian Sport Chief motorcycle. The winner will be selected at random from among all eligible entries received and combined throughout the Sweepstakes Entry Period. Odds of winning depend on the number of eligible entries received throughout the Sweepstakes Entry Period.

WINNER NOTIFICATION: Winner will be contacted by phone and via the email address provided at entry. Before any prize is awarded, winner must verify identity and eligibility (including age and U.S. residency) and may be required to present a valid government-issued photo ID and complete and return any required affidavit of eligibility, liability/publicity release, and tax forms. Winners must claim prize in person at the Kennametal Next Level Shop, Booth No. 431800, in the West Building, Level 3 – within four (4) hours of being notified and arrange for delivery by end of day Friday, September 18, 2026 (or such other time as Sponsor may determine in its sole discretion). As a condition of receiving the prize, winner must timely complete, sign and return an affidavit of eligibility and liability release (and, where lawful, a publicity release) in the form provided by Sponsor. The prize also includes shipping and delivery arranged by Sponsor or its designated carrier to a U.S. address provided by winner (or, if any portion of the prize becomes unavailable for any reason, Sponsor may substitute the prize or portion thereof with an item or service of equal or greater value, as determined by Sponsor). Title to the prize transfers to winner upon Sponsor’s tender of the prize to the carrier for shipment (or, if picked up in person, upon Sponsor’s delivery to winner), and risk of loss passes to winner upon such tender/delivery; Sponsor is not responsible for any delay, loss, or damage in transit. Failure to respond or to timely return the required documents or otherwise timely complete identity/eligibility verification and required documentation shall mean that the winner forfeits the prize, and a new winner will be drawn. Winner’s acceptance will be subject to acceptance of Sponsor general terms of sale.

GENERAL CONDITIONS: By participating, Entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor, which shall be final in all respects relating to this Sweepstakes; and (b) to release, discharge and hold harmless Sponsor, and their respective parents, affiliates, subsidiaries and the respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, "Released Parties") from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant's participation in the Sweepstakes or the acceptance, possession, use or misuse of any awarded prize (or portion thereof).

PUBLICITY RELEASE: Except where prohibited by law, acceptance of a prize constitutes the winner’s consent for Sponsor and its designees to use the winner’s name, likeness, photograph, voice, hometown and state (and, if applicable, company name), and prize information for advertising, promotional and other publicity purposes in any media now known or hereafter developed, worldwide, without further notice, permission, or compensation.

To the maximum extent permitted by law, Sponsor is not responsible for late, lost, incomplete, illegible, corrupted, misdirected, or otherwise invalid entries, or for any technical, network, equipment, printing, or human errors, malfunctions, interruptions, or failures that may affect entry collection, processing, winner notification, prize delivery, or prize fulfillment.

The person submitting the form is duly authorized to enter this agreement on behalf of Entrant. 

DISPUTE RESOLUTION: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that any dispute, claim or controversy arising out of or relating to these Sweepstakes or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Pittsburgh, Pennsylvania before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANT AND SPONSOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, INCLUDING IN ARBITRATION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

CHOICE OF LAW: Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the Commonwealth of Pennsylvania, USA.
